TERMS OF SERVICE (TERMS OF USE)

1. Acceptance of Terms
   By accessing, browsing, or using AgencyLedge.com (the “Site” or “Platform”), operated by AgencyLedge (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, you must immediately discontinue use of the Site.
2. Scope of Services & Non-Broker Status
   AgencyLedge operates exclusively as a digital venue, advertising directory, and software tool suite connecting buyers, sellers, job seekers, and insurance professionals.

• NOT A BROKER OR ADVISOR: AgencyLedge is not a licensed business broker, real estate broker, Merger & Acquisition (M&A) intermediary, investment advisor, tax advisor, or legal counsel.
• NO TRANSACTION FACILITATION: We do not hold escrow, negotiate transactions, structure purchase agreements, or broker buy/sell transactions. Any deal executed is strictly between the independent buyer and seller.

3. User Accounts & Verification

• Eligibility: Users must be at least 18 years old and legally capable of entering binding contracts.
• Accuracy: You agree to provide accurate, current, and verifiable information when creating an account or posting listings.
• Account Security: You are responsible for safeguarding your login credentials and for all activities under your account.

4. Marketplace Listings & User Representations

• Seller Representations: By submitting a listing (agency, book of business, or job post), the seller/poster warrants that they hold full legal title, authority, or written authorization from the principal to market the entity or book.
• Content Moderation: We reserve the right, at our sole discretion, to reject, modify, or remove any listing that is misleading, fraudulent, or violates third-party carrier agreements (e.g., unauthorized captive contract solicitations).
• Due Diligence: Prospective buyers acknowledge that metrics (Gross Written Premium, commissions, retention rates, loss ratios) are self-reported by sellers and unverified by AgencyLedge. Buyers must execute independent due diligence.

5. Paid Listings, Job Board & Refunds

• Paid Services: Featured listings, promotional add-ons, and Job Board postings require upfront payment via our authorized payment processors.
• Non-Refundable Nature: All digital listing fees, featured placement charges, and posting fees are non-refundable once the listing has been approved and published live on the platform.
• Subscription/Term: Paid placements expire after the specified period (e.g., 30, 60, or 90 days) unless renewed.

6. Interactive Tools & Calculators
   Our interactive calculators (e.g., Agency Valuation Multiples, Loan/DSCR) and document generators (e.g., COI templates, BOR letter generators) are provided for illustrative and educational purposes only. They do not constitute formal appraisals, actuarial analyses, or binding legal instruments.
7. Intellectual Property
   All content, design systems, algorithms, code, branding, logos, and proprietary templates on AgencyLedge.com are the exclusive intellectual property of AgencyLedge and protected by applicable copyright and trademark laws.
8. Disclaimer of Warranties
   THE PLATFORM, CONTENT, AND TOOLS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACCURACY.
9. Limitation of Liability
   TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENCYLEDGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM:
   (A) TRANSACTIONS OR DISPUTES BETWEEN BUYERS AND SELLERS;
   (B) ERRORS, OMISSIONS, OR MISREPRESENTATIONS IN USER-SUBMITTED LISTINGS;
   (C) SYSTEM DOWNTIME, DATA LOSS, OR TECHNICAL DEFECTS;
   (D) RELIANCE ON VALUATION TOOLS OR TEMPLATES.
   IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO AGENCYLEDGE IN THE PAST SIX (6) MONTHS.
10. Indemnification
    You agree to defend, indemnify, and hold harmless AgencyLedge from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your violation of these Terms, your listings, or your interactions/transactions with other users.
11. Governing Law & Dispute Resolution
    These Terms are governed by and construed in accordance with the laws of the State of Delaware (or applicable primary operating jurisdiction), without regard to conflict of law principles. Any dispute shall be resolved through binding confidential arbitration.
