Why annual reports get missed — and why it matters

Annual report deadlines vary wildly by state — some are tied to your formation anniversary, others fall on fixed calendar dates. Some are annual; some are biennial. A few states charge $15; others charge $500. Missing the deadline doesn’t just mean a late fee — in many states it means your LLC gets dissolved.

⚠️
Florida charges a $400 late fee
Miss Florida’s May 1 deadline by even one day and you owe $400 on top of the normal $138.75 filing fee. That’s nearly $540 for a 5-minute form. Set reminders.
💀
Involuntary dissolution is public record
When your LLC is dissolved, it shows up permanently in Secretary of State databases — visible to clients, partners, and lenders doing due diligence on your business.
💸
Reinstatement costs more than filing
Reinstating a dissolved LLC typically costs 2-5x the original filing fee, takes weeks of processing time, and may require additional legal work depending on the state.
🏥
Insurance agents face extra risk
If your agency entity is dissolved, your E&O coverage, carrier appointments, and agency license can all be called into question. Maintain good standing without exception.
🏠
Real estate investors with multiple LLCs
If you hold properties in separate LLCs, each entity has its own annual report deadline. Missing one undermines the liability protection you formed the entity to provide.
6 states don’t require annual reports for LLCs
Arizona, Idaho, Missouri, New Mexico, Ohio, and Pennsylvania don’t require LLCs to file annual reports. Check your state’s page to confirm your entity type and requirements.
